Terms of Service
The terms that govern access to and use of the Recauda.ai platform.
Last updated: August 31, 2026
1. Acceptance of terms
Recauda.ai is a service operated by Oruslabs, based in Panama. By creating an account, connecting an integration, or using any part of the platform, the client company accepts these terms in full.
If you do not agree with these terms, you must not use the service. Recauda.ai is currently in beta and operates with its first clients; some features may change as the product matures.
2. Description of the service
Recauda.ai is a B2B SaaS platform for automated collections over WhatsApp. The system sends reminders, a payment link, and an account statement to the end customer via WhatsApp; the customer uploads a receipt (photo or PDF), and a collector at the client company reviews it and approves or rejects it.
When a receipt is approved, a receipt document is generated and, if the company has connected its account, the payment is recorded in QuickBooks Online. The receipt image is the source of truth; every amount is confirmed through human review.
- Single communication channel with the end customer: WhatsApp (via Twilio).
- Available accounting integration: QuickBooks Online through per-company OAuth.
- Local OCR estimates the receipt amount, with manual review by the collector when confidence is low.
- Artificial intelligence is limited to classifying WhatsApp messages and answering the bot FAQ.
3. Accounts and user responsibilities
The client company is responsible for the accuracy of the data it loads (customers, invoices, amounts) and for keeping its team access credentials confidential. Each user is responsible for actions taken from their account.
- Keep contact and billing information up to date.
- Ensure it has a legal basis to contact its end customers over WhatsApp.
- Immediately report any unauthorized use of an account.
- Respect the roles and permissions assigned within the platform.
4. Acceptable use
The service must be used only to manage the legitimate collection of debts owed to the client company by its end customers.
- No spam, fraudulent, threatening content, or content that violates WhatsApp and Twilio policies.
- No attempts to break tenant isolation, access other tenants data, or bypass security controls.
- No use of the platform to harass, defame, or unlawfully pressure end customers.
- No reselling or sublicensing of the service without written authorization.
5. Plans and payments
Commercial plans, pricing, and billing cycles are under review during the beta phase. Any figures shown are indicative and do not constitute a binding offer.
Any final commercial terms will be agreed in writing with the client company before they apply. Applicable Panama taxes, such as ITBMS, will be added where relevant.
6. Intellectual property
The software, the Recauda.ai brand, the interface, and all documentation are owned by Oruslabs. These terms transfer no intellectual property rights to the client company, other than the limited right to use the platform as described here.
Data that the client company loads or generates remains its property. Recauda.ai processes it only to provide the service.
7. Third-party integrations
The service relies on external providers to operate. Use of these integrations is subject to each provider terms and policies, in addition to these terms.
- QuickBooks Online (Intuit): payment recording and accounting sync when the company connects its account.
- Twilio: sending and receiving WhatsApp messages.
- OpenAI: message classification and bot FAQ responses.
- Google Cloud: storage of receipts and hosting of the application.
8. Limitation of liability and termination
The service is provided as is, without implied warranties of uninterrupted availability during the beta phase. Recauda.ai does not replace the client company judgment: the final decision to approve or reject a payment is made by a human.
To the maximum extent permitted by law, Oruslabs is not liable for indirect damages, lost profits, or data loss arising from use of the service. Either party may terminate the relationship with written notice; after termination, the client company may request an export of its data.
9. Changes, governing law, and contact
Recauda.ai may update these terms to reflect changes in the product or the law. Material changes will be communicated to the client company, and the last-updated date will be reflected on this page.
These terms are governed by the laws of the Republic of Panama, and any dispute will be submitted to the competent courts of that country. For legal inquiries, write to info@oruslabs.ai.
